Terms of Service

1. Acceptance of Terms

By accessing and using the Vertexa platform, operated by VERTEXA SOLUÇÕES DE TI LTDA (Company ID: 50.128.648/0001-16), you agree to comply with and be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.

2. Description of Services

Vertexa is a high-performance computing (HPC) platform-as-a-service (PaaS) that provides cloud infrastructure for compute-intensive workloads, including CFD simulations, satellite imagery processing, genomic analysis and other scientific and engineering applications.

Our services include, but are not limited to:

• Access to scalable compute resources (CPU and GPU)
• Secure, high-performance cloud storage
• Preconfigured environments for a range of applications
• Management and monitoring tooling
• Technical support according to your plan

3. Registration and User Account

To use Vertexa, you must create an account providing accurate, complete and up-to-date information. You are responsible for:

• Keeping your access credentials confidential
• All activity carried out under your account
• Notifying Vertexa immediately of any unauthorized use
• Ensuring all users associated with your account comply with these terms

4. Plans and Payments

Vertexa offers different monthly subscription plans based on VCUs (Vertexa Compute Units). Payment terms include:

• Monthly billing in advance at the start of each billing cycle
• Additional VCUs are billed separately at the end of the period
• Prices may be adjusted with 30 days' prior notice
• Cancellation is available at any time, with no penalty
• Refunds are prorated and calculated on unused VCUs

5. Acceptable Use

You agree to use the platform only for lawful purposes and in accordance with the following restrictions. The following are expressly prohibited:

• Carrying out illegal or unauthorized activities
• Using the services for cryptocurrency mining without express authorization
• Attempting to gain unauthorized access to systems or networks
• Interfering with or disrupting the services or servers
• Sharing access credentials with unauthorized third parties
• Storing or processing illegal or defamatory content, or content that infringes third-party rights

6. Intellectual Property

All intellectual property rights relating to the Vertexa platform, including software, interface, documentation and related materials, belong exclusively to VERTEXA SOLUÇÕES DE TI LTDA or its licensors.

You retain all rights to the data and content you process through our platform.

7. Privacy and Data Security

Vertexa is committed to protecting your data. Our Privacy Policy describes how we collect, use and protect your information.

We implement technical and organizational security measures to protect your data against unauthorized access, loss or destruction.

8. Availability and SLA

Vertexa strives to maintain high service availability. Guaranteed service levels (SLA) vary according to your plan:

• Team plan: 99.9% monthly uptime
• Enterprise plan: custom SLA as per contract
• Scheduled maintenance is announced at least 48 hours in advance

9. Limitation of Liability

To the maximum extent permitted by law, Vertexa shall not be liable for:

• Indirect, incidental, special or consequential damages
• Loss of profits, data or business opportunities
• Damages arising from improper use of the platform
• Interruptions caused by events beyond our control

Our total liability is limited to the amount paid for the services in the last 12 months.

10. Termination

You may cancel your account at any time through the control panel. Vertexa reserves the right to suspend or terminate your account in the event of:

• Violation of these Terms of Service
• Fraudulent or illegal activity
• Non-payment 15 days past the due date
• Usage that compromises the security or performance of the platform

11. Changes to These Terms

Vertexa reserves the right to modify these Terms of Service at any time. Significant changes will be notified by email at least 30 days in advance. Continued use of the platform after the changes constitutes acceptance of the new terms.

12. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the Federative Republic of Brazil. Any dispute relating to these terms shall be resolved exclusively in the courts of São Paulo, SP, Brazil.
